1. Introduction
These Terms of Service ("Terms") govern your use of the Repayas service. By creating an account or using Repayas, you agree to these Terms.
If you do not agree to these Terms, you must not use the service.
These Terms form a legally binding agreement between you and Repayas Limited. Please read them carefully.
2. About Repayas
Repayas is a Safe-to-Spend engine for UK small and medium-sized businesses. We connect to your bank accounts (with your explicit consent) via Open Banking, automatically detect your VAT liability from your transactions, and calculate how much of your bank balance is safe to spend after setting aside what you owe HMRC.
Important: Repayas is an information and analysis service, not a regulated financial service.
- We do not provide financial advice
- We do not provide accounting services
- We do not provide tax advice or file tax returns
- We do not hold, move, or have access to your money
- We are not regulated by the Financial Conduct Authority (FCA)
- The Safe-to-Spend number we calculate is an estimate based on your transaction data, intended to support your own financial decisions
You remain solely responsible for:
- Your spending decisions
- Your VAT registration and filings
- Your tax compliance
- Verifying any figures with a qualified accountant if needed
3. Eligibility
To use Repayas, you must:
- Be at least 18 years old
- Be a legal representative of a UK-registered business or a UK sole trader
- Have the authority to bind your business to these Terms
- Provide accurate and complete information during registration
- Comply with all UK laws applicable to your business
We may verify your identity and business registration at any time. If we cannot verify you, we may suspend or close your account.
4. Your account
When you create an account, you agree:
- To provide accurate and current information
- To keep your login credentials confidential
- To notify us immediately of any unauthorised access at security@repayas.com
- That you are responsible for all activity on your account
You may close your account at any time from your account settings. We may close your account if you breach these Terms, fail to pay, or use the service unlawfully.
5. The Safe-to-Spend service
Repayas calculates a Safe-to-Spend number based on:
- Your operating bank balance (from connected accounts you tag as Operating)
- Your reserve bank balance (from connected accounts you tag as Reserve)
- Your detected VAT liability (calculated from your transactions)
- A safety buffer for unclassified transactions
This number is an estimate. It is not a guarantee.
Your actual VAT liability may differ from our estimate because:
- You may have transactions in cash or outside connected accounts
- Your VAT scheme may apply different rules (flat rate, cash accounting)
- HMRC may calculate your liability differently
- Your business circumstances may change
You should use the Safe-to-Spend number as one input into your spending decisions, alongside your own knowledge of your business, your accountant's advice, and your actual VAT filings.
Repayas is not liable for any financial loss arising from reliance on the Safe-to-Spend estimate or any other figure we display.
6. Open Banking and bank account access
You authorise Repayas to access your transaction data via TrueLayer, an FCA-authorised Account Information Service Provider (AISP).
This authorisation:
- Allows Repayas to read your transactions and balances
- Does NOT allow Repayas to make payments
- Does NOT allow Repayas to hold or move your funds
- Does NOT give Repayas access to your banking credentials
- Can be revoked at any time from your account settings or directly with your bank
Open Banking access typically lasts 90 days before renewal is required. We will notify you when renewal is needed.
7. The Friday SMS
If you provide your mobile phone number and opt in to SMS alerts, you authorise Repayas to send you one SMS per week, every Friday at approximately 10:00 AM UK time, containing your Safe-to-Spend number and a brief status.
You can opt out of SMS alerts at any time from your account settings. Standard messaging rates may apply from your mobile carrier.
8. Subscription and billing
Repayas is a paid subscription service. Pricing is listed at repayas.com/pricing.
Free trial
New users receive a 14-day free trial. No payment is required during the trial. The trial may be cancelled at any time.
Subscription fees
After the trial, your subscription begins at the price displayed at sign-up. Fees are billed monthly in advance via Stripe.
Cancellation
You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months.
Price changes
We may change our pricing with at least 30 days' notice. If we change the price during your subscription, the new price will apply at your next renewal.
Failed payments
If a payment fails, we will attempt to charge again. After three failed attempts, your account will be suspended. Suspended accounts retain data for 30 days before deletion.
9. Acceptable use
You agree NOT to:
- Use Repayas for any unlawful purpose
- Attempt to gain unauthorised access to Repayas systems or other users' accounts
- Reverse-engineer, decompile, or attempt to extract the source code of Repayas
- Scrape, copy, or republish Repayas content without permission
- Use Repayas to launder money or evade tax obligations
- Provide false or misleading information to Repayas
- Use Repayas to harass, threaten, or harm any person
Violation of these terms may result in immediate account termination.
10. Intellectual property
Repayas owns all intellectual property in the service, including:
- The Repayas software, design, and brand
- The Safe-to-Spend calculation methodology
- Documentation and educational content
You retain ownership of your own data. By using Repayas, you grant us a limited licence to process your data solely to provide the service.
11. Limitations of liability
Service availability
Repayas aims to provide reliable service but does not guarantee uninterrupted availability. We may need to perform maintenance, and third-party providers (TrueLayer, Twilio, etc.) may experience outages outside our control.
Estimates are not guarantees
The Safe-to-Spend number, VAT calculations, and all other figures provided by Repayas are estimates based on available data. We do not guarantee their accuracy.
Limitation of damages
To the maximum extent permitted by law, Repayas's total liability to you for any claim arising from these Terms or your use of Repayas is limited to the greater of:
- The fees you have paid Repayas in the 12 months preceding the claim, or
- £100
Excluded losses
We are not liable for:
- Indirect, consequential, or special damages
- Loss of profits, revenue, or business opportunities
- Tax penalties, HMRC fines, or interest charges
- Financial losses arising from your spending decisions
- Losses arising from third-party service outages
- Losses arising from your incorrect tagging of accounts or incorrect data input
Nothing in these Terms excludes liability we cannot exclude under UK law, including liability for death, personal injury, fraud, or fraudulent misrepresentation.
12. Indemnity
You agree to indemnify Repayas against any claims, losses, or expenses arising from:
- Your breach of these Terms
- Your use of Repayas in violation of UK law
- Your incorrect or fraudulent provision of data
- Third-party claims arising from your use of Repayas
13. Termination
We may suspend or terminate your account if:
- You breach these Terms
- You fail to pay subscription fees
- We are required to by law or regulator
- We discontinue the service (with at least 90 days' notice)
You may close your account at any time. Upon termination:
- You lose access to the service immediately
- Your data is retained for 30 days, then deleted (except where law requires longer retention)
- You can request a data export before deletion
14. Changes to these Terms
We may update these Terms from time to time. When we do, we will:
- Update the "Last updated" date
- Notify you by email of material changes
- Provide at least 30 days' notice before the changes take effect
If you do not agree to the updated Terms, you may close your account before the changes take effect.
15. Governing law and disputes
These Terms are governed by the laws of England and Wales. Any disputes will be resolved in the courts of England and Wales.
Before bringing legal action, we encourage you to contact us at legal@repayas.com to attempt to resolve the dispute informally.
